The Corporate Paralegal at Garrett Brands is responsible for a wide range of legal and support functions within the Legal Department, focusing on corporate work. The ideal candidate will have experience in a broad range of corporate matters and will be responsible for a variety of administrative work. This position will work on both domestic and international aspects of the business. 

Key responsibilities include, but are not limited to, the following :

· Assistance with board and shareholder meetings, including tracking dates for such meetings; scheduling; preparing agendas, resolutions and minutes.

· File annual reports (domestic) and meet annual compliance requirements for other states (NV, MI, DE, etc.) in the first half of the year.

· Manage all corporate needs internationally (annual filings, re4solutions, calls for meetings, minutes, addresses, directors).

· Prepare board and shareholder resolutions and written actions that include elections, resignations, appointment of auditors and approval of financial statements.

· Maintain corporate record/minute books.

· Create and update Directors and Officers list and legal entity organizational charts.

· Review and negotiate contracts (including but not limited to: vendor agreements, NDAs, media contracts, etc.)

· Prepare execution documents that include notarization and foreign legalization. 

· Collaborate with internal business units (e.g., accounting, etc.) as appropriate to facilitate and support restructuring transactions and the formation, merger and dissolution of entities.

· Facilitate and draft documents relating to transactions that include capital infusions, additional share increases, transfers of ownership, and corporate entity name changes 

· Coordinate with Garrett’s Accounting team with respect to opening and maintaining international bank accounts; assist Finance with audits (domestic and international).

· Organize and understand basics of corporate files including, but not limited to, operating agreements, articles of organization, corporate minutes and resolutions.

· Prepare lease abstracts/track expiration dates (both as landlord and as tenant)/calendar reminders.

· Review COIs to ensure they comply with the lease.

· Review vendor contracts. 

Job Requirements/Qualifications:

· Bachelor’s Degree, paralegal degree/certification a plus.

· 5+ years prior experience in corporate paralegal work.

· Excellent oral and written communication skills.

· Strong organizational skills.

· Highly motivated, detail-oriented and work well under tight deadlines.

· Ability to work independently, take ownership of issues, and effectively resolve problems.

· Needs to be a self-starter with a high degree of resourcefulness.

· Willing to work on a broad variety of legal and corporate matters.
